DORIX App End User Licence Agreement and Terms of Service

1- Who we are and how to contact us

This End User Licence Agreement and Terms of Service (the “Agreement”) is a contract between DORIX Ltd (“DORIX”, “we”, “us”, “our”) and you, the end user. DORIX Ltd is incorporated in England and Wales. Registered address: 19 Berkeley Street, London W1J 8ED, United Kingdom. Contact: support@dorix.com.

By selecting Agree in the app or by using the DORIX app or related services, you confirm that you have read, understood, and accepted this Agreement. If you do not accept, you must not use the app or services. This Agreement should be read with the DORIX Privacy Policy, which explains how we collect and use personal data.

2- What this Agreement covers

This Agreement governs your use of:

  • the DORIX mobile application and any updates or supplements (the “App”)
  • cloud and software services that support the App, including developer APIs and device connectivity (the “Services”)
  • compatible smart access devices that you control with the App, for example smart locks or cylinders supplied by DORIX or authorised partners (the “Devices”)

3- Eligibility and accounts

  • 3.1 You must be at least 16 to use the Services in the EU. If you are in the UK, you must be at least 13. If you are under the relevant age, a parent or legal guardian must review and accept this Agreement and supervise use.
  • 3.2 You are responsible for the information you provide, keeping your credentials safe, and for actions performed through your account. If you suspect unauthorised use, tell us immediately at support@dorix.com.

4- Licence grant and restrictions

  • 4.1 DORIX grants you a personal, limited, non-exclusive, revocable licence to install and use the App on devices you own or control, only for its intended purpose.
  • 4.2 You must not copy, adapt, translate, modify, reverse engineer, decompile, attempt to extract source code, sell, resell, rent, lease, lend, or sublicense the App or Services.
  • 4.3 You must not use the Services for any unlawful purpose, to access or attempt to access another person’s devices or data, or to interfere with the operation or security of the Services.
  • 4.4 Commercial or high-volume use requires a separate written agreement with DORIX.

5- Services, features, and updates

  • 5.1 Features include device onboarding, lock and unlock commands, digital key creation and revocation, schedules, alerts, usage logs, and integrations. We may add, change, or remove features to improve service quality or to comply with legal or platform requirements.
  • 5.2 The Services rely on internet connectivity and on partner infrastructure. Services may be unavailable during maintenance windows or due to factors outside our control.
  • 5.3 We may provide app or firmware updates. You agree to install updates so the App and Devices function correctly and remain secure.

6- Third-party platforms and integrations

  • 6.1 Some Services use third-party platforms, cloud services, developer tools, and app‑store frameworks. We may enable integrations with other products.
  • 6.2 We do not control third-party services and are not responsible for their availability or performance. We may modify or discontinue integrations where needed.
  • 6.3 Your use of third-party services is subject to their terms. We are not responsible for costs, damages, or losses that arise from third-party changes or outages.

7- Safety and acceptable use

  • 7.1 Do not use the App or Services in situations where a delay or failure could lead to injury, emergency, or critical harm. The App is not an emergency service.
  • 7.2 Use the Devices in accordance with the installation and operating guidance. Where local law or building policies require a qualified installer, only a qualified installer should perform the work.
  • 7.3 You agree not to upload or transmit content that is unlawful, fraudulent, abusive, defamatory, obscene, invasive of privacy, or that infringes the rights of others. We may remove content or suspend accounts that breach these rules.

8- User keys and access control

  • 8.1 You control who receives keys or access rights through your account. You are responsible for managing permissions and for revoking access when needed.
  • 8.2 You must inform guests and authorised users about the proper use of the Devices and App and about any house rules or building policies that apply.

9- Intellectual property

  • 9.1 The App and Services, including all software, interfaces, and content, are owned by DORIX or its licensors. All rights are reserved.
  • 9.2 You may not remove or alter any ownership notices.
  • 9.3 If you send feedback or ideas, you grant DORIX a royalty-free right to use them to improve the Services.

10- Open‑source components

The App may include open‑source components. Licences for those components will be made available within the App or on our website. Where a licence grants you additional rights, those rights will prevail for that component.

11- Privacy and data protection

  • 11.1 DORIX acts as the controller of personal data processed through the App and Services. We process data in accordance with the DORIX Privacy Policy and with applicable data protection laws, including UK GDPR and EU GDPR where relevant.
  • 11.2 Data we process may include account details, device identifiers, usage logs, diagnostics, and notifications. We use this data to provide, secure, and improve the Services, and to help you manage Devices.
  • 11.3 Where we use service providers to deliver parts of the Services, they act under contract and follow our instructions.
  • 11.4 You can exercise data rights described in the Privacy Policy, including rights of access and erasure, subject to legal limits.

12- Charges and in-app purchases

  • 12.1 The App may offer paid features or subscriptions. We will display pricing and key terms within the App or the stores before you buy.
  • 12.2 If you buy through Apple App Store or Google Play, the store’s payment terms apply. Refunds are handled under store rules and applicable consumer law.

13- Your consumer rights

  • 13.1 Nothing in this Agreement affects your statutory rights.
  • 13.2 For digital content supplied to consumers in the UK and EU, you may have a right to a repair or replacement or a price reduction if the Services are not in conformity with the contract. You may also have a right to withdraw within fourteen days, subject to legal exceptions where performance has begun with your consent.

14- Warranties and disclaimers

  • 14.1 We aim to provide reliable Services, but we do not promise they will be uninterrupted or error-free.
  • 14.2 The Services are provided as available. To the fullest extent permitted by law, we exclude implied warranties of merchantability and fitness for a particular purpose.
  • 14.3 We do not control third-party networks, operating systems, or app‑store processes. We are not responsible for failures caused by those systems.

15- Liability

  • 15.1 We do not exclude or limit liability for death or personal injury caused by our negligence, for fraud, or for any matter that cannot be excluded by law.
  • 15.2 For other losses, and to the fullest extent permitted by law, our total liability to you for all claims in any twelve months will not exceed the higher of one hundred pounds or the amount you paid to us for the Services during that period.
  • 15.3 We are not responsible for loss or damage that was not foreseeable, for loss arising from your failure to keep credentials secure, for loss caused by your misuse of the Services, or for purely economic losses such as loss of profit or business.

16- Suspension and termination

  • 16.1 You may stop using the App at any time and may delete your account through support.
  • 16.2 We may suspend or end your access where there is a serious or repeated breach of this Agreement, a legal or safety risk, fraud, misuse, or where we are required by law or by a platform provider. We will try to give notice where reasonable.
  • 16.3 On termination, your licence ends and you must remove the App from your devices. Sections that by nature survive termination will continue to apply.

17- Changes to this Agreement and to the Services

  • 17.1 We may update this Agreement, for example, to reflect changes in the law or in how the Services work. If a change is material, we will give reasonable notice in the App or by email where we hold a valid address for you. Continued use after the effective date means you accept the updated terms.
  • 17.2 We may change or discontinue features. Where a change removes a material paid feature, we will provide a suitable alternative or a proportional refund in line with consumer law.

18- App‑store terms and third-party rights

  • 18.1 If you download the App from the Apple App Store, you agree to the Apple Media Services Terms and the Apple Licensed Application End User Licence Agreement. Apple and its subsidiaries are third-party beneficiaries of this Agreement for the limited purpose of enforcing terms related to the iOS version of the App. Apple has no obligation to provide maintenance or support.
  • 18.2 If you download the App from Google Play, you agree to Google Play’s terms, including policies on billing, subscriptions, and refunds. Google is not responsible for the support of the App.
  • 18.3 Your app‑store provider is not responsible for claims by you or a third party relating to the App or its use, including product liability, failure to comply with legal requirements, or claims under consumer protection law.

19- Export and sanctions compliance

You must not use, export, or transfer the App or Services in violation of export control or sanctions laws that apply to you.

20- Complaints and disputes

  • 20.1 If you have a concern, contact support@dorix.com. We will try to resolve it quickly.
  • 20.2 This Agreement and any non-contractual obligations arising out of or in connection with it are governed by the laws of England.
  • 20.3 The courts of England have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation, including non-contractual disputes or claims.

21- General

  • 21.1 This Agreement is the entire agreement between you and DORIX for the App and Services.
  • 21.2 You may not assign or transfer your rights under this Agreement. We may assign to a successor or group company, where this does not materially affect your rights.
  • 21.3 Headings are for convenience only. Failure to enforce a right is not a waiver.
  • 21.4 Translations are for convenience. The English version controls where legally permitted.
